Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Astra Prevention services, including the Astra web and mobile applications, cloud services, integrations, and related services (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

Astra Prevention is a product and brand developed and operated by Nebulab Technologies Inc. Nebulab Technologies Inc. is the legal entity that provides the Astra Prevention hardware, web and mobile applications, cloud services, Google Home integration, and related Services ("we", "us", or "our"). The Services may be offered as a white-label app for installer companies, but Nebulab Technologies Inc. provides and operates the Services.

2. Important Safety Disclaimer

The Services and any alerts or notifications are provided on a best-efforts basis and are intended only to help reduce the risk of water damage. The Services do not prevent water damage or any other damage. Alerts may be delayed, inaccurate, or not delivered at all due to connectivity issues, device failures, power outages, environmental conditions, human error, or other factors beyond our control. Alerts may also be false, incomplete, or triggered when no issue exists ("false alerts").

You are solely responsible for maintaining your property, systems, sensors, and safety measures. Do not rely on the Services as your only safety system or as a substitute for proper maintenance, monitoring, and insurance. The Services are not a monitored emergency service. You are responsible for contacting emergency services or taking any other action. Astra is not responsible for any damage, loss, or injury that occurs even if an alert is delayed, missed, false, or incorrect.

3. Eligibility and Representations

You must be of legal age in your jurisdiction to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. You represent that you have consent from the property owner or are otherwise authorized to install, access, and monitor the applicable property and systems. You must provide accurate information and keep your account secure. You are responsible for all activity under your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services and any embedded or accompanying software solely in connection with authorized hardware, for your personal or internal business use, and only as intended. This license does not transfer any ownership rights. All rights not expressly granted are reserved by Nebulab Technologies Inc. and its licensors.

6. License Restrictions

Except as permitted by applicable law, you may not copy, modify, distribute, sell, rent, lease, sublicense, or create derivative works from the Services or software. You may not use the Services in any jurisdiction where their use is prohibited, and you agree to comply with applicable export control and sanctions laws.

7. Installer Companies and Access

Installer companies and authorized personnel may access site and system data to provide installation and support services. You are responsible for managing who has access to your sites and systems.

If your system is installed or maintained by an installer company, that installer company is responsible for the installation, configuration, testing, maintenance, and support of your system. If you install or manage the system yourself, you are solely responsible for those activities. Any claims related to installation, configuration, maintenance, or support must be directed to the installer company or the system owner (as applicable), not Astra.

8. Availability, Updates, and Changes

We may modify, suspend, or discontinue any part of the Services at any time. We may install software updates automatically without notice, including security patches, bug fixes, and feature changes. Continued use of the Services constitutes acceptance of updates. Features may be modified, discontinued, or require newer hardware. We do not guarantee continuous availability or error-free operation.

If Wi-Fi Mesh connectivity is enabled by the owner, an authorized administrator, or an installer, an Astra panel connected to the configured Wi-Fi network may be used as a root node or exit node for the site's Astra mesh network. Astra system traffic from other panels at the same site may be relayed through that panel and may appear to originate from the internet connection for the configured Wi-Fi network. Wi-Fi Mesh is intended only for Astra system traffic, but it may affect the availability, performance, or use of that internet connection. Wi-Fi Mesh requires storing site mesh credentials and any configured root Wi-Fi credentials so panels at the same site can use a consistent mesh configuration. You are responsible for ensuring you are authorized to provide the configured Wi-Fi network credentials and for managing who may enable or modify this configuration.

9. No fees at this time

The Services are currently provided without a paid plan. We may introduce paid plans or fees in the future with notice.

10. Ownership and Intellectual Property

The Services, software, firmware, cloud services, documentation, trademarks, and branding are owned by Nebulab Technologies Inc. or its licensors. You retain ownership of your data. You grant us a non-exclusive license to host, process, transmit, and display your data to operate, maintain, and improve the Services. We may create and use aggregated or anonymized data for analytics and service improvement, and we own such aggregated or anonymized data.

Marketing reference allowed. You grant Nebulab Technologies Inc. a non-exclusive, revocable license to use your company name and logo to identify you as a customer or installer company in marketing materials and customer lists, unless you opt out by contacting support.

LoRa® is a registered trademark of the LoRa Alliance®. This product, and any products using LoRa technology, are not affiliated with or certified by the LoRa Alliance.

11. Data, Privacy, and Connected Services

By using the Services, you consent to the collection, use, processing, and storage of data as described in our Privacy Policy. We design and operate the Services to comply with applicable obligations under Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), including limited collection, consent, safeguards, openness, access rights, and complaint handling. Data may be stored or processed in Canada or other countries where we or our service providers operate. You are responsible for obtaining any required consents from occupants or property owners.

If you connect an Astra system to Google Home or another third-party service, you authorize Nebulab Technologies Inc. to exchange the selected system and device information, status requests, and control commands needed to provide that connection. Your Astra permissions continue to apply. The third-party provider's terms and privacy policy also apply, and you may unlink the service at any time.

12. Hardware Warranty

Eligible Astra hardware is governed by the Nebulab IoT Limited Hardware Warranty, which is incorporated into these Terms by reference and is available in the component Installation tab. Nebulab's direct limited hardware warranty currently applies to the Astra Panel model NLAP100 and Astra Sensor model NLAS100 for 24 months from the first successful production commissioning or adoption recorded by the Astra System. For legacy installations, the recorded site installation date is used. Coverage belongs to the original purchaser. Other hardware is not covered by this direct Nebulab warranty but may carry a manufacturer's warranty. Nebulab will honour any longer or additional written hardware-warranty commitment in a Nebulab-issued product sheet supplied with the original purchase. A warranty replacement inherits only the remaining term of the original component and does not restart the coverage period. This limited warranty is in addition to legal warranties and other rights that cannot be excluded under applicable law.

13. Disclaimers

EXCEPT FOR THE EXPRESS LIMITED HARDWARE WARRANTY DESCRIBED ABOVE AND ANY WARRANTY OR RIGHT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Astra DOES NOT WARRANT THAT THE SERVICES WILL DETECT ALL EVENTS, THAT ALERTS WILL BE DELIVERED OR ACCURATE, OR THAT THE SERVICES WILL PREVENT ANY DAMAGE OR LOSS. YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SERVICES, INCLUDING THE RISK OF MISSED ALERTS OR FALSE ALERTS.

14. Events Beyond Our Control

We are not responsible for any delay or failure to perform resulting from causes beyond our reasonable control, including internet outages, power failures, carrier failures, acts of God, natural disasters, war, terrorism, labor disputes, government actions, or third-party platform failures.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Astra AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR PROPERTY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. THIS INCLUDES, WITHOUT LIMITATION, WATER DAMAGE OR ANY OTHER DAMAGE OR LOSS THAT THE SERVICES WERE INTENDED TO HELP DETECT OR REDUCE, WHETHER CAUSED BY MISSED ALERTS, DELAYED ALERTS, FALSE ALERTS, OR SYSTEM FAILURES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Astra'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO Astra FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE (OR, IF NO FEES WERE PAID, C$0). THIS LIABILITY CAP APPLIES PER INCIDENT AND IN THE AGGREGATE.

WHERE THE SYSTEM IS INSTALLED BY AN INSTALLER COMPANY, THE INSTALLER COMPANY ASSUMES RESPONSIBILITY FOR INSTALLATION, CONFIGURATION, AND MAINTENANCE, AND ANY RELATED LIABILITY RESTS WITH THE INSTALLER COMPANY. WHERE THE SYSTEM IS SELF-INSTALLED OR SELF-MAINTAINED, THE OWNER ASSUMES THAT RESPONSIBILITY AND LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Astra IS NOT RESPONSIBLE FOR SUCH INSTALLATION OR MAINTENANCE-RELATED CLAIMS.

FOR A COVERED HARDWARE DEFECT, THE REMEDIES IN THE LIMITED HARDWARE WARRANTY APPLY. NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR LIMITS A LEGAL WARRANTY, CONSUMER-PROTECTION RIGHT, OR OTHER REMEDY THAT CANNOT LAWFULLY BE WAIVED OR LIMITED. SUBJECT TO THOSE RIGHTS AND THE EXPRESS LIMITED HARDWARE WARRANTY, YOUR REMEDY FOR A CLAIM RELATED ONLY TO THE SERVICES IS TO STOP USING THE SERVICES.

16. Indemnification

You agree to indemnify and hold Nebulab Technologies Inc. harmless from any claims, damages, losses, and expenses arising from your use of the Services, your data, your violation of these Terms, your misuse of the Services, any misrepresentation to end users, or your failure to comply with applicable laws or data protection obligations.

17. Term, Suspension, and Termination

These Terms are effective upon your first use of the Services and continue until terminated. You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, for operational, security, business, or legal reasons. Upon termination, your license ends and you must stop using the Services. The sections on ownership and intellectual property, data and privacy, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive, will survive termination.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

19. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

20. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

21. Entire Agreement and Changes

These Terms, together with the Privacy Policy and the Limited Hardware Warranty where applicable, constitute the entire agreement between you and Nebulab Technologies Inc. regarding the Services and supersede any prior agreements or understandings. We may update these Terms from time to time by posting the updated version. Your continued use of the Services after the effective date of any update constitutes acceptance of the updated Terms.

22. Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. The courts located in Ottawa, Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
